Buying a ready-made company in Lithuania over three years old to take part in a tender
Client request
Entrepreneurs from Italy approached TET needing to acquire an already registered company in Lithuania in order to take part in a tender. The tender conditions set strictly defined requirements for participants, including the length of time the legal entity had existed: the company had to have been registered more than three years earlier. Setting up a new company would not have met this need, as such an entity would not have satisfied the registration date requirement. The clients therefore needed a ready-made Lithuanian company of a suitable age to be found and its acquisition to be arranged.
An important part of the request was the ability to complete the transaction remotely, without the buyers travelling to Lithuania in person.
Our solution
Drawing on its experience in Lithuania’s corporate sector since 2016, the TET team offered the clients a choice of three ready-made companies. The options were selected with the stated purpose of the acquisition and the requirement regarding the age of the legal entity in mind. Having a choice allowed the entrepreneurs to consider several offers and identify the option best suited to them. One of the companies proposed fully met the clients’ needs and was selected for purchase. To complete the transaction, a remote working format was arranged, allowing the purchase to be finalised without a trip to Lithuania.
How we did it
1. Defining the selection criteria
The starting point was the clients’ requirement regarding the company’s age: more than three years had to have passed since its registration. This criterion was of fundamental importance, as it was linked to the conditions for taking part in a specific tender. The task was to find an existing legal entity that met this time criterion.
2. Offering a choice of three companies
The TET team presented the clients with three ready-made Lithuanian companies to choose from. The entrepreneurs reviewed the offers and chose the company that matched their request. This approach made it possible to agree on the specific company to be purchased before moving on to formalising the transaction.
3. Arranging the remote acquisition
Once the company had been chosen, the TET team supported the acquisition process remotely. The transaction was organised in such a way that the buyers did not need to be present in Lithuania in person.
4. Completing the purchase
The acquisition of the chosen company was completed within two weeks. As a result of the project, the clients became the owners of a ready-made Lithuanian company over three years old, which they had chosen for their further participation in the tender.
Result
The entrepreneurs from Italy acquired an already registered company in Lithuania that met the stated requirement regarding the age of the legal entity. Of the three options offered, they chose the company that fully suited them for the task at hand.
The selection and acquisition took two weeks and were carried out entirely remotely for the clients. The outcome of TET’s work was the completed purchase of a company of the required age for the clients’ further preparation for taking part in the tender.
