In 2025, clients from Spain approached TET having decided to cease the activities of their Lithuanian company. Against the background of changes in the regulation of the crypto-asset market related to MiCA, continuing to use a legal entity in Lithuania no longer fitted their business plans. The clients needed to formally end the company’s existence, go through the required stages of liquidation and ensure its removal from the Register of Legal Entities maintained by Registrų centras. Remote support was an important condition: the clients wanted to complete the procedure without travelling to Lithuania in person.

The TET team offered to support the liquidation of the company in line with the applicable requirements, taking the procedure through to the removal of the legal entity from the register. The work was structured step by step: reviewing the company’s initial situation, preparing the necessary documents, supporting the liquidation actions and formalising the completion of the procedure with Registrų centras. This approach allowed the clients to entrust the organisation of the process to specialists in Lithuania and to resolve any issues that arose remotely.

1. Reviewing the company's situation
At the initial stage, the TET team reviewed the circumstances of the cessation of activities and determined the actions required for the liquidation. The aim of this stage was to establish the course of work, taking into account the position of this particular company, and to lay the groundwork for going through the procedure step by step.
2. Preparing the liquidation documents
The next stage was preparing the documents needed to formalise the liquidation decision and to carry out the subsequent actions. Communication with the clients on preparing and executing the documents took place remotely.
3. Supporting the liquidation procedure
The TET team supported the necessary liquidation actions and the fulfilment of the requirements related to the procedure. The work was aimed at winding up the affairs of the legal entity and preparing for the final formalisation of the termination of its existence. The clients took part in the process remotely, without travelling to Lithuania.
4. Removing the company from the register
The final stage was formalising the completion of the liquidation and removing the company from the Register of Legal Entities maintained by Registrų centras. Achieving this result was the ultimate goal of the support.
Rezultatas
Viduje four months, the liquidation procedure was completed and the Lithuanian company was removed from the Register of Legal Entities. The clients from Spain were able to formally stop using the Lithuanian legal entity after their business plans changed. The project was carried out entirely remotely for the clients, with no need to travel to Lithuania in person.
