Lietuvos įmonės registracijos adreso keitimas
The company registration address is the official address of the company used in the registers of official institutions. It doesn’t have to match the address of your company’s office, department, or workplace.
The Lithuanian company being established must have a location and registration address. Having chosen the location address of the company, it is necessary to obtain the consent of the owner of the real estate at the address of which the company will be registered. The consent of the owner or co-owners of the premises must be provided in accordance with the requirements of the Lithuanian Centre of Registers. Where the registration is completed electronically, the property owners may provide their consent through the Centre of Registers’ self-service system using accepted qualified electronic signatures. For paper-based procedures, notarisation or other legally prescribed certification may be required. A corporate seal is not generally mandatory for consent issued by a Lithuanian legal entity, provided that the document is properly signed by an authorised representative. The incorporation of a Lithuanian company and the subsequent change of its registered office address are separate legal procedures. When changing the registered office of an existing company, it is generally unnecessary to resubmit the original incorporation deed, initial share capital confirmation or documents relating to the original appointment of the director. The company must submit the required application, a decision of the competent corporate body and the property owner’s consent where applicable. Documents may be submitted electronically through the Centre of Registers’ self-service system, and notarial certification is not automatically required for every registered office address change.
The location of a legal entity is mandatory for every legal entity registered in Lithuania. The Civil Code of the Republic of Lithuania establishes that the place of registration of a legal entity is the place where its permanent governing body is located. Every Lithuanian legal entity must have a registered office address recorded in the Register of Legal Entities (JAR). The registered office is determined in accordance with Article 2.49 of the Lithuanian Civil Code and the applicable corporate registration requirements. The full registered office address does not necessarily have to be included in the company’s articles of association. Where the address is specified in the articles, changing it also requires the appropriate amendment of those articles. A company may therefore change its registered office without amending its articles of association if the address is not included in them.
The decision to change the registered office address of a Lithuanian legal entity must be adopted by the corporate body authorised under the applicable legislation and the entity’s governing documents. For a private limited liability company (UAB), this generally involves a decision of the general meeting of shareholders or the sole shareholder. For a Small Partnership (MB), the decision is generally adopted by its members in accordance with the Law on Small Partnerships and the partnership’s regulations. Public institutions and other legal entities follow their own governance rules and should not automatically be treated as joint-stock companies.
When making a decision to change the location of the company, it is important to pay attention to whether the company’s location is indicated in the company’s charter. If the legal address is specified in the charter, then in this case the change of the legal address is equal to the change of the company’s charter and must be made at the notary office or through the self-service portal Registrų centras.
If the legal address is specified in the charter of the company and the company agrees to amend its charter and approve it in a new version that corresponds to the standard charter of a closed joint stock company approved by the Minister of Economy of the Republic of Lithuania, the charter can be changed in the self-service system of the Registration Center.
To register a change of a Lithuanian company’s registered office address, the applicant must submit the appropriate application to the Register of Legal Entities (JAR). For paper-based registration, the applicable JAR forms and supporting documents must be used. Where the application is submitted electronically through the Centre of Registers’ self-service system, the required electronic application, generally Form JAR-1-E, is generated through the system. The application must be supported by the relevant corporate decision, property owner consent where required, and amended articles of association if the registered office address is expressly stated in them.
2. Minutes of the general meeting of participants that decided to change the place of residence.
3. If a legal entity is not the owner of the premises provided for the registration of the office of the legal entity, its branch or representative office, or the premises belong to the legal entity on the right of joint ownership – written or electronic consent to the provision of premises for the registration of the office of the legal entity is provided by the owner or co-owner to provide premises for the registration of the legal entity office.
4. A document certifying the identity of the person who provided the documents and data. If the supplier of documents and data acts through a representative, a power of attorney must be submitted to the registry administrator along with the documents. Where documents are submitted by post or through an authorised representative, the applicant must comply with the identification, signature certification and representation requirements established by the Lithuanian Centre of Registers. Depending on the submission method, notarisation of signatures, an appropriate power of attorney or additional identification documents may be required. A copy of the director’s identity document alone does not automatically satisfy the requirements for submitting a valid application.
An application for changing the location of a legal entity can also be submitted electronically through the self-service system Registrų centras. To do this, the supplier of documents and data (the head or a person authorized by the head) must log in to the customer self-service system of the Registration Center with a qualified electronic signature.
If the company does not own the premises intended for its registered office, the consent of the property owner or all relevant co-owners must be obtained in accordance with the applicable registration requirements. For electronic registration, the Centre of Registers’ self-service system generates the required consent document, which must be signed by the relevant owners using accepted qualified electronic signatures. If the owners cannot provide electronic consent through the system, an alternative legally accepted form of consent may be required. The owners of the premises can sign a contract for the provision of premises for the office of a legal entity also through the self-service system Registrų centras.
A state fee is paid for registering a change of address.
